Authentic Badass Terms of Service

1. Agreement to Terms

By creating an account, accessing, or using Authentic Badass (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Authentic Badass LLC ("we," "us," "our," "Authentic Badass"), a Virginia limited liability company.

You must read and accept these Terms before using the Service. By clicking "I Agree" or similar, you confirm you have read, understood, and agree to be bound by these Terms.

2. Eligibility

2.1 Age Requirement

You must be 18 years of age or older to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

If we learn that someone under 18 has created an account, we will terminate that account and delete associated data.

2.2 Account Registration

To use the Service, you must:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your information
• Maintain the security of your password
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use

You may not:

• Create an account for anyone other than yourself
• Use another person's account
• Create multiple accounts
• Provide false information

2.3 Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized use of your account.

3. The Service

3.1 What Authentic Badass Provides

Authentic Badass is a personal development platform powered by the Power Matrix methodology. The Service includes:

• Power Spark: Initial assessment through AI-guided conversation
• Power Transform: Daily practices for personal growth
• Power Goals: Goal-setting and tracking with AI support
• Power Chats: On-demand conversations with Alice AI
• Power Insights: Personalized narratives about your journey
• Arena: Community features for connection with other users

3.2 AI-Powered Features

The Service uses artificial intelligence ("Alice AI") to provide personalized guidance and recommendations.

IMPORTANT - PLEASE READ:

Alice AI is NOT:

• A licensed therapist, psychologist, or mental health professional
• A medical doctor or healthcare provider
• A financial advisor or planner
• An attorney or legal professional
• A substitute for professional advice of any kind

Alice AI provides:

• Self-reflection tools that mirror your words back to you
• Questions to help you explore your own thoughts
• Pattern recognition from your inputs
• Educational frameworks for understanding yourself

Alice does NOT provide advice. Alice is designed to facilitate your own self-discovery through questions and reflection, not to tell you what to do. Any insights or patterns identified are for your educational consideration only.

YOU ARE SOLELY RESPONSIBLE for any decisions you make. The Service is for self-education and personal reflection only.

NOT FOR CRISIS USE: If you are experiencing a mental health crisis, thoughts of self-harm, or thoughts of suicide, please stop using the Service and reach out to a mental health professional, trusted person, or emergency services immediately. Alice is not equipped to detect or handle emergencies. We do not collect your phone number, address, or real name, so we cannot contact you or emergency services on your behalf. Your safety is your responsibility.

3.3 Platform Structure

Authentic Badass LLC licenses its platform technology (including the Power Matrix methodology and Alice AI) from Badass Platform LLC pursuant to a Brand License Agreement. These are separate legal entities connected by contract. For data protection purposes, Authentic Badass LLC is the Controller of your personal data, and Badass Platform LLC is our Processor. Our Privacy Policy explains how data is handled within this structure. By using the Service, you acknowledge this corporate relationship.

3.4 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (we will try to provide notice)
• Unscheduled maintenance or repairs
• Circumstances beyond our reasonable control

4. Subscriptions and Payment

4.1 Subscription Plans

Standard Subscription: $35 per month

• Full access to Power Transform, Power Goals, Power Insights, Arena
• Power Chats based on your level (see Service documentation)

Steady Boost (Power Chats Add-On): $10 per month

• Additional 75 Power Chat replies per month

Quick Boost (One-Time Purchase): $5 each

• Adds 25 Power Chat or Power Goal replies
• One-time purchase, does not auto-renew

How Replies Are Used: Your included subscription replies are used first. Boost replies (Steady or Quick) are only used after your included replies are exhausted. Boost replies do not expire and remain available until used.

Prices are in United States Dollars (USD) unless otherwise indicated.

4.2 Billing and Automatic Renewal

AUTOMATIC RENEWAL: Your subscription will automatically renew each month until you cancel. By subscribing, you authorize us to charge your payment method on a recurring basis for the then-current subscription price.

• Subscriptions are billed monthly in advance
• Payment is processed through Stripe
• Billing occurs on the same date each month (or nearest available date)
• You will receive a confirmation email after your initial purchase with these renewal terms

4.3 Signup Process

Subscriptions are purchased through our website. You must complete the signup process on the web before accessing the mobile application.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting privacy@authenticbadass.com.

Upon cancellation:

• Your subscription remains active until the end of your current billing period
• You retain access to paid features until that period ends
• After the period ends, your account converts to limited access or is deactivated
• You may resubscribe at any time

4.5 No Refunds

All payments are non-refundable. We do not provide refunds or credits for:

• Partial months of service
• Unused features or credits
• Downgrade of subscription
• Periods where you did not use the Service

Exceptions: We may provide refunds at our sole discretion, or where required by applicable law.

EU/UK Consumers - Right of Withdrawal: Under the Consumer Rights Directive, you normally have a 14-day right to cancel digital purchases. By clicking "I Agree" and subscribing, you expressly consent to immediate access to the Service and acknowledge that you waive your 14-day right of withdrawal.

4.6 Price Changes

We may change subscription prices with at least 30 days' notice before your next billing date. Notice will be provided via email and/or in-app notification.

If you do not agree with a price change, you may cancel before it takes effect. Continued use after the price change constitutes acceptance.

4.7 Failed Payments

If payment fails:

• We will attempt to charge your payment method again
• You will have a 7-day grace period to update your payment method
• During the grace period, some features may be limited
• After 7 days of failed payment, your subscription will be cancelled
• You remain responsible for any unpaid amounts

5. Your Content and Conduct

5.1 Your Content

"Your Content" means any text, reflections, responses, posts, and other materials you submit through the Service.

Ownership: You retain ownership of Your Content. We do not claim ownership of what you create.

License to Us: By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and process Your Content to provide the Service
• Create de-identified, aggregated data as described in our Privacy Policy
• Display Your Content in community features (Arena) if you choose to post publicly

This license terminates when you delete Your Content or your account, except for:

• Content you posted publicly (Arena posts remain associated with your username)
• De-identified data that cannot be linked to you
• Content we are required to retain for legal purposes

5.2 Prohibited Conduct

You agree NOT to:

Harmful Behavior:

• Harass, bully, threaten, or intimidate other users
• Post content that is defamatory, obscene, or hateful
• Impersonate any person or entity
• Engage in any illegal activity

Security Violations:

• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Upload malware, viruses, or harmful code
• Circumvent security measures

Intellectual Property Violations:

• Infringe any patent, trademark, copyright, or other rights
• Copy, modify, or distribute our content without permission
• Reverse engineer, decompile, or disassemble the Service
• Scrape or harvest data from the Service

Abuse:

• Use the Service for any commercial purpose without our consent
• Resell, sublicense, or share account access
• Create multiple accounts
• Use automation, bots, or scripts to access the Service
• Manipulate or artificially inflate engagement metrics

We reserve the right to suspend or terminate accounts that violate these rules.

5.3 Community Guidelines (Arena)

If you participate in Arena (community features), additional guidelines apply:

• Be respectful and constructive
• No spam or self-promotion
• No personal attacks
• Content must comply with all Prohibited Conduct rules

We may remove content and suspend accounts for community violations. Moderation decisions are at our discretion.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, content, software, AI models, methodology (Power Matrix), and underlying technology, is owned by Authentic Badass LLC and/or Badass Platform LLC and protected by copyright, trademark, patent, trade secret, and other laws.

Trademarks: "Authentic Badass," "Power Matrix," "Alice," and related logos are trademarks of Authentic Badass LLC or Badass Platform LLC. You may not use these marks without written permission.

6.2 Limited License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

This license does NOT include the right to:

• Modify, copy, or create derivative works
• Sell, resell, or commercially exploit the Service
• Reverse engineer or extract source code
• Remove copyright or proprietary notices
• Use the Service to build a competing product

This license terminates when your subscription ends or if you violate these Terms.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without compensation to you.

7. Disclaimers

7.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Guarantee of Results

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE. Personal development outcomes vary by individual. The Service provides tools and frameworks; results depend on your engagement and many factors outside our control.

7.3 Third-Party Services

The Service may integrate with third-party services (payment processors, AI providers, etc.). We are not responsible for the availability, accuracy, or practices of third parties. Your use of third-party services is at your own risk.

7.4 AI Limitations

AI-generated content may contain errors, inaccuracies, or inappropriate responses. While we work to improve AI quality, we do not guarantee accuracy or appropriateness of AI outputs. You should not rely solely on AI-generated content for important decisions.

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHENTIC BADASS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS (INCLUDING BADASS PLATFORM LLC) WILL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) UNAUTHORIZED ACCESS TO YOUR DATA; (C) STATEMENTS OR CONDUCT OF THIRD PARTIES; (D) ANY OTHER MATTER RELATING TO THE SERVICE

8.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR
• ONE HUNDRED DOLLARS ($100)

8.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN YOU AND US AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

8.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Authentic Badass LLC, Badass Platform LLC, and their officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any dispute between you and another user

We reserve the right to assume exclusive defense of any claim subject to indemnification. You agree to cooperate with our defense.

10. Dispute Resolution

10.1 Informal Resolution First

Before filing any formal claim, you agree to contact us at privacy@authenticbadass.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, you and we agree to resolve any claims through binding individual arbitration rather than in court, except as provided below.

Arbitration Rules:

• Arbitration will be conducted by the American Arbitration Association (AAA) under the Consumer Arbitration Rules
• Arbitration will take place in Fairfax County, Virginia, or another mutually agreed location
• The arbitrator's decision is final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

Costs:

• For claims under $10,000, we will pay all AAA filing and arbitration fees
• For claims over $10,000, fees are governed by AAA rules
• Each party bears their own attorneys' fees unless the arbitrator awards fees to the prevailing party

10.3 Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate claims or preside over any class or representative proceeding.

10.4 Exceptions to Arbitration

Either party may:

• Bring claims in small claims court if eligible
• Seek injunctive relief in court for intellectual property violations
• Pursue claims that cannot be arbitrated under applicable law

10.5 Opt-Out Right

You may opt out of arbitration by sending written notice to privacy@authenticbadass.com within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration. If you opt out, you and we may pursue claims in court.

10.6 Survival

This arbitration agreement survives termination of these Terms and your use of the Service.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through account settings
• Contacting privacy@authenticbadass.com to request account deletion

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraud or abuse
• Fail to pay fees owed
• Engage in conduct harmful to other users or our business
• Are required to be terminated by law

For minor violations, we may provide warning before termination. For serious violations, we may terminate without notice.

11.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• You lose access to your account and data
• We may delete your data after 30 days (subject to legal retention requirements)
• You remain liable for any fees owed
• Provisions that should survive termination will survive (see Section 12.6)

12. General Terms

12.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

12.2 Venue

For any claims not subject to arbitration, you and we agree to submit to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies we reference, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

12.4 Modifications

We may modify these Terms at any time. For material changes, we will provide notice via email and/or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Service and may cancel your subscription.

12.5 Waiver and Severability

Our failure to enforce any provision is not a waiver of that provision or any other. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary.

12.6 Survival

The following sections survive termination: 5.1 (license to Your Content already submitted), 6 (IP), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Dispute Resolution), 12 (General Terms).

12.7 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.

12.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that Badass Platform LLC is an intended third-party beneficiary of the intellectual property and limitation of liability provisions.

12.9 Force Majeure

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/infrastructure failures.
